Agreement to Terms
Welcome to Trivial Matters! These Terms of Service ("Terms", "Terms of Service") govern your use of our web application and services (collectively, the "Service") operated by Trivial Matters ("we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
Important: Please read these Terms carefully before using our Service. By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Account Registration and Eligibility
1.1 Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You are not prohibited from using the Service under any applicable laws
- You will comply with these Terms and all applicable local, state, national, and international laws
1.2 Account Creation
To use certain features of the Service, you must register for an account. When creating an account:
- You must provide accurate, current, and complete information
- You must maintain and promptly update your account information
- You are responsible for maintaining the security of your account credentials
- You are responsible for all activities that occur under your account
- You must immediately notify us of any unauthorized use of your account
1.3 Account Security
You are solely responsible for safeguarding your account credentials and for any activities or actions under your account. We will not be liable for any loss or damage arising from your failure to maintain account security.
2. Description of Service
Trivial Matters provides an AI-powered assistant service that:
- Monitors your Gmail inbox for emails from senders you specify
- Extracts schedule information from emails using artificial intelligence
- Automatically creates and updates events in your Google Calendar
- Generates personalized meal plans based on your preferences and schedule
- Sends notifications about upcoming events and important information
- Provides a dashboard for managing your preferences and viewing your schedule
To use the Service, you must grant us permission to access your Google account, including Gmail and Calendar data. You can revoke this permission at any time.
3. User Obligations and Acceptable Use
3.1 Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable law or regulation
- Use the Service to harm, threaten, or harass any person or entity
- Impersonate or attempt to impersonate another person or entity
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any portion of the Service
- Use any automated system (bots, scrapers, etc.) to access the Service without our express written permission
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Remove, circumvent, disable, damage, or otherwise interfere with security-related features
- Use the Service to transmit any viruses, malware, or other malicious code
- Collect or harvest any information from the Service using automated means
3.2 Content Responsibility
You are responsible for:
- The accuracy of trusted senders and keywords you configure
- Verifying that calendar events created by our AI are accurate before relying on them
- Your meal plans and dietary preferences
- Any actions taken based on information provided by the Service
Note: While our AI strives for accuracy, it may make mistakes. Always verify important events and information independently.
4. Google Account Access and Permissions
4.1 Required Permissions
To provide the Service, we require access to your Google account with the following permissions:
- Gmail Read Access: To read emails from senders you specify
- Gmail Modify Access: To mark processed emails as read (optional feature)
- Gmail Send Access: To send you notifications and confirmations via email
- Calendar Access: To create, read, update, and delete calendar events
- Profile Information: To identify you and personalize your experience
4.2 Scope of Access
We only access:
- Emails from senders you explicitly specify in your settings
- Emails containing keywords you configure (if enabled)
- Calendar events we create or that match events we've created
We do NOT:
- Read emails from senders you haven't specified
- Store full email content (only email IDs for duplicate prevention)
- Access your Google Drive, Photos, or other Google services beyond Gmail and Calendar
- Share your Gmail or Calendar data with third parties except as necessary to provide the Service (e.g., AI processing)
4.3 Revoking Access
You may revoke our access to your Google account at any time through:
- Your Google Account Permissions page
- Your Trivial Matters account settings
Revoking access will prevent the Service from functioning properly. If you revoke access, we will no longer be able to monitor your emails or manage your calendar events.
5. Subscription and Payment Terms
5.1 Free Trial
We offer a 30-day free trial for new users. During the trial period:
- You have full access to all Service features
- No payment information is required initially
- You can cancel at any time before the trial ends
- If you do not cancel, you will be automatically charged for a paid subscription
5.2 Paid Subscriptions
After the free trial, continued use of the Service requires a paid subscription:
- Billing Cycle: Subscriptions are billed monthly or annually, depending on your chosen plan
- Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date
- Payment Processing: Payments are processed securely through Stripe
- Pricing: Current pricing is available on our pricing page
- Price Changes: We reserve the right to change our pricing with 30 days' notice to existing subscribers
5.3 Cancellation and Refunds
- Cancellation: You may cancel your subscription at any time from your account settings
- Effect of Cancellation: You will retain access to the Service until the end of your current billing period
- No Partial Refunds: We do not provide refunds for partial months or unused portions of your subscription
- 30-Day Money-Back Guarantee: If you're not satisfied within the first 30 days of your paid subscription (after trial), contact us for a full refund
- Failed Payments: If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, your subscription may be suspended or cancelled
5.4 Taxes
You are responsible for any applicable taxes (including VAT, GST, sales tax) based on your billing address. These taxes may be added to your subscription cost where required by law.
6. Intellectual Property Rights
6.1 Our Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Trivial Matters and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks, service marks, and logos used on the Service are owned by Trivial Matters. You may not use these marks without our prior written permission.
6.2 Your Content
You retain all rights to your content, including:
- Your Gmail emails (we only process them to provide the Service)
- Your calendar events (we access them only as necessary to provide the Service)
- Your meal plans and preferences
- Your account settings and configurations
By using the Service, you grant us a limited, non-exclusive, royalty-free license to:
- Access and process your content as necessary to provide the Service
- Use aggregated, anonymized data to improve our Service
- Display your content back to you through the Service interface
This license ends when you delete your content or account, except for aggregated, anonymized data.
7. Disclaimers and Limitations of Liability
7.1 Service "As-Is"
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
- The AI-generated content will be completely accurate
7.2 AI Limitations
IMPORTANT: Our Service uses artificial intelligence to extract information from emails. While we strive for accuracy:
- The AI may misinterpret email content
- Calendar events may contain incorrect dates, times, or information
- Meal suggestions may not always align perfectly with your preferences
- The Service may occasionally miss important emails or create duplicate events
YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL INFORMATION GENERATED BY THE SERVICE. DO NOT RELY ON THE SERVICE AS YOUR SOLE METHOD OF TRACKING IMPORTANT EVENTS.
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRIVIAL MATTERS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenues, data, use, goodwill, or other intangible losses
- Damages resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Missed events, incorrect calendar entries, or scheduling errors
- Errors in AI-generated content
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Trivial Matters, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service
- Your violation of any rights of another person or entity
- Your violation of any applicable laws or regulations
- Any content you provide to the Service
- Any damage or loss caused by your actions or inactions while using the Service
9. Service Availability and Modifications
9.1 Service Availability
We strive to provide reliable, continuous service. However:
- We do not guarantee that the Service will be available at all times
- The Service may be unavailable during maintenance, updates, or due to technical issues
- We may suspend or discontinue any part of the Service at any time
- We are not responsible for any loss resulting from Service unavailability
9.2 Service Modifications
We reserve the right to:
- Modify or discontinue any feature of the Service
- Change the Service structure, appearance, features, or availability
- Add or remove functionality
- Change pricing plans (with notice to existing subscribers)
We will provide reasonable notice of significant changes when possible.
10. Termination
10.1 Termination by You
You may terminate your account at any time by:
- Accessing your account settings and selecting "Delete Account"
- Contacting our support team at support@trivialmatters.app
Upon termination, your right to use the Service will immediately cease. Your data will be deleted within 30 days, except data we are required to retain for legal compliance.
10.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Fraudulent, abusive, or illegal activity
- Extended non-payment of fees
- At our sole discretion for any reason
10.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- We will revoke our access to your Google account
- We will delete your data in accordance with our Privacy Policy
- You remain liable for any fees owed prior to termination
- Sections of these Terms that should survive termination will remain in effect
11. Dispute Resolution and Arbitration
11.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@trivialmatters.app. We will attempt to resolve the dispute informally within 60 days.
11.2 Binding Arbitration
If we cannot resolve the dispute informally, you and Trivial Matters agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except:
- You may bring claims in small claims court if they qualify
- Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights
The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's decision will be final and binding.
11.3 Class Action Waiver
YOU AND TRIVIAL MATTERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
13. Changes to These Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will:
- Provide at least 30 days' notice before any new terms take effect
- Post a notice on our website and/or send you an email
- Update the "Last Updated" date at the top of these Terms
What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may cancel your account.
14. Miscellaneous Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trivial Matters regarding the Service and supersede all prior agreements.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
14.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
14.5 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
14.6 Third-Party Services
The Service integrates with third-party services (Google, OpenAI, Stripe, etc.). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of these third parties.
14.7 Survival
The following sections survive termination of these Terms: Intellectual Property Rights, Disclaimers and Limitations of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.
